Terms of Service

1. Definitions

These Terms of Service ("Terms") govern your use of the Modelane platform (the "Service") provided by XNODEHUB ENTERPRISES PTE. LTD., a private limited company incorporated under the laws of the Republic of Singapore, having its registered office at 73 Upper Paya Lebar Road, #08-01M, Centro Bianco, Singapore 534818, and bearing Unique Entity Number (UEN) 202408470C (hereinafter "Modelane", "we", "us" or "our").

"Customer", "you", or "your" refers to the individual or legal entity that registers for and uses the Service. "API" means the Modelane application programming interface accessible at api.modelane.ai. "Content" means any data, text, or other material submitted to or generated through the Service.

2. Account Registration

To use the Service, you must create an account using a valid work email address and provide accurate company information. You must be at least 18 years of age. You are responsible for maintaining the confidentiality of your API keys and account credentials. You must notify us immediately at support@modelane.ai if you become aware of any unauthorized use of your account.

3. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. We reserve the right to suspend or terminate accounts that violate the Acceptable Use Policy without prior notice.

4. Pricing and Payment

The Service is billed on a post-paid, usage-based model. Invoices are issued monthly and are due within 30 days of issuance. Fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days' written notice. Enterprise customers may have separate pricing terms under their contract.

If payment is not received within the 30-day grace period, we may suspend your access to the Service. We may charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Service Level

The Service is provided on a "best effort" basis for standard accounts. Enterprise customers may receive a service level agreement (SLA) with a target uptime of 99.5%, as specified in their contract. Scheduled maintenance windows will be communicated at least 48 hours in advance via status.modelane.ai.

6. Intellectual Property

You retain all rights to the content you submit to and receive from the Service. Modelane does not claim ownership of your inputs or outputs. Modelane does not use customer content to train, fine-tune, or improve any machine learning models. The Service, its design, architecture, and documentation are the intellectual property of XNODEHUB ENTERPRISES PTE. LTD.

7. Data Processing

Our data handling practices are described in our Privacy Policy. Enterprise customers requiring a Data Processing Agreement (DPA) can obtain one at /legal/dpa. By default, Modelane does not retain any request or response content beyond the request lifetime.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Modelane's total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total amount paid by you to Modelane during the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall Modelane be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or the theory of liability.

9. Indemnification

You agree to indemnify, defend, and hold harmless Modelane and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

10. Term and Termination

These Terms are effective from the date you first access the Service and continue until terminated. Either party may terminate these Terms at any time with 30 days' written notice. We may terminate or suspend your access immediately if you violate these Terms or the Acceptable Use Policy. Upon termination, you must cease all use of the Service and pay any outstanding fees.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the SIAC for the time being in force.
